Guest / Host Agreement
1. Parties involved
1.1 This is an agreement ("Agreement") between the Guest and the Host concerning the occupancy by the Guest of the Host's accommodation which has been booked by the Guest in accordance with the Terms and conditions, as detailed in the Booking Confirmation.
1.2 It is important to note explicitly that Villanium Limited ("Villanium") is not a party to this Agreement, thus making a clear distinction between the parties involved. However, our team remains at your disposal for any further assistance, although we are not directly involved in the specific terms of this agreement between the Guest and the Host.
2. Interpretation
2.1. The terms and definitions specified in the Terms and conditions maintain their meaning and apply within the scope of this Agreement, thereby establishing a continuity of reference between the two documents.
2.2. The terms of this Agreement are significant and legally binding for Guests and Hosts. It is therefore necessary to carefully review them.
2.3. The guest's responsibility not to perform an act or thing should include the responsibility not to permit or authorize that act or thing.
3. Accomodation occupency permission
3.1 In accordance with the agreement made in this contract, the Host agrees that the Guest may use the accommodation for a period from that stated in the booking confirmation for the purposes of vacation or short-term occupation.
3.2. The Contract between the Host and the Guest stipulates that the accommodation will be occupied by the latter as a licensee, and that this document does not create a relationship of owner and tenant.
4. Obligations of the Host
The Host accepts and confirms that:
4.1 They have the right to grant a license to occupy the accommodation on the terms and conditions set out in this agreement ;
4.2 By entering into this agreement, they will not breach any other agreement relating to the accommodation (including the terms of any lease relating to the accommodation);
4.3. If additional permits are required or if fees and/or taxes must be paid in order to grant the Guest the occupancy license, this responsibility will rest with the Host (provided that, where applicable, the Guest has provided the necessary information to the Host);
4.4. The description of the accommodation and additional services in the accommodation listing is true, accurate and free from misrepresentation in any material respect;
4.5. The accommodation complies with all applicable laws and regulations relating to the Customer's vacation or short-term occupation, including all local and European laws as defined in the Terms of Use.
4.6. If required by local legislation, they will provide fire, health and safety advice, including information on emergency exits, a first aid kit, smoke detectors, carbon monoxide detectors if necessary, and details of water and gas interruptions.
4.7. They will prefer to contact the Villanium advisor via the dedicated platform, so that he or she can then contact the guest. Otherwise, they will use the Guest/Host services telephone number, if available, or the e-mail address provided in the booking confirmation.
4.8. On the guest's arrival, the accommodation will be in a perfect state of cleanliness, guaranteeing high standards of hygiene with fresh bedding and towels.
4.9. All essential equipment in the accommodation, including those mentioned in the accommodation listing description, must be in perfect working order. This also includes heating and, where applicable, air-conditioning systems.
4.10. If they are informed by the Villanium advisor that the Customer/Guest has a problem with the accommodation, either at check-in or during the stay, they will take the necessary action to resolve the situation, in accordance with Clause 7 "Complaints and Dispute Resolution" of the Terms of Use, and will
4.11. Not to divulge the guest's identity or address to any third party, except with the guest's consent.
5. Client's Obligations
The guest agrees to:
5.1. Pay the Host (via Villanium as the Host's collection agent) and Villanium, in accordance with the Terms and conditions, the accommodation fees and Villanium service fees as well as any other fees, taxes, and charges stated in the booking confirmation or communicated to the Traveler by Villanium.
5.2. In the event of any issues with the accommodation during check-in or throughout the stay, follow the procedures outlined in Clause 7 "Claims and Dispute Resolution" in the Terms and conditions.
5.3. Refrain from using the accommodation for purposes other than personal vacation residence or short-term occupancy.
5.4. Ensure that the maximum number of persons and animals allowed to occupy the accommodation corresponds to that mentioned in the booking confirmation. The Host reserves the right to refuse entry during check-in if the specified number of Guests and/or animals is exceeded. In such cases, it will be considered a cancellation by the traveler, and the Host's cancellation policy will be applied.
5.5. Avoid engaging in or allowing any actions that may cause nuisances, discomfort, disturbances, or be abusive or discriminatory towards the Host, any property owner, or any occupant of neighboring properties.
5.6. Refrain from causing damage to the accommodation, stealing items, or any other property content. Ensure the preservation of the integrity and security of the belongings within the accommodation.
5.7. Agree to abide by all villa rules specified in the accommodation listing and/or notified to the Guest before or upon arrival at the accommodation.
5.8. Commit to reading and following all instructions (including health and safety guidelines) provided by the Host.
5.9. Contact and immediately inform the Villanium advisor and the Host upon becoming aware of anything that may endanger health and/or safety.
5.10. Refrain from engaging in any illegal or immoral activities within the accommodation, including the consumption of illicit drugs, and comply with all local laws of the country where the accommodation is located.
5.11. Ensure that the accommodation and the host's personal belongings are left clean and tidy at the end of the stay, thus preserving their initial condition upon arrival.
5.12. Acknowledge that they are responsible for their own actions and omissions and are also responsible for the actions and omissions of any person they invite or grant access to the accommodation, excluding the Host (and individuals invited by the Host into the accommodation, if any).
5.13. Agree not to bring any animals into the accommodation (unless prior arrangement with the host).
5.14. Refrain from accessing cabinets, drawers, or rooms that have been sealed with tape or locked.
5.15. Don’t move furniture.
5.16. Agree to contact the advisor to reach out to the Host primarily using the Villanium platform, and failing that, using the customer/guest service phone number (if available) and email link provided on the Booking Confirmation.
5.17. Never disclose the Host's identity or address to anyone, except with prior agreement from Villanium and the Host.
5.18. Understand that a local representative of Villanium, or third-party partners, as well as the Host, have the right to visit the accommodation after notice (except in emergencies) and to authorize access to the Host or a representative of the Host.
a) In the event the Host reasonably suspects a breach of this agreement; or
b) To fulfill the Host's obligations under this agreement and the Terms and conditions (in which case the Host will endeavor to provide the Guest with at least 24 hours' notice); or
c) Upon the Guest's request.
5.19. Agree not to transfer this accommodation license to anyone else without obtaining prior consent from the host.
5.20. When the guest makes a reservation on behalf of themselves and one or more additional guests ("additional guests"), they shall inform the additional guests of the terms of this agreement and any applicable house rules for the booking. The guest also confirms that they will ensure these additional guests comply with the stated terms. If any of the additional guests are minors, the guest warrants and confirms that they are legally authorized to act on behalf of the minor and will not do or omit anything that could got against all or part of the host's insurance policy.
6. Damage to property and security deposit
6.1. If the accommodation (or any part thereof) or any of the personal property of the Guest is damaged during the stay, beyond reasonable wear and tear, the Traveller :
6.1.1. must notify Villanium immediately; and
6.1.2. Will be fully responsible for the costs of this damage.
6.2. Villanium Limited has obtained Host Protection Guarantee from SUPERHOG Ltd ("SUPERHOG") to ensure that Guests will fulfill their responsibility towards Hosts for any damages to the property.
6.3. This agreement leads the relationship between you (the guest), SUPERHOG Ltd ("Superhog"), Villanium Limited, and your Host in every reservation. You must carefully read this agreement and proceed only if you wish to be bound by the agreement in its entirety.
6.4. The guest confirms that in the event of damages to the accommodation or any of the Host's personal belongings (beyond normal wear and tear) and/or if the accommodation is excessively dirty to require, in the reasonable opinion of the Host, industrial cleaning, then the Host may authorize Villanium and its partner company SUPERHOG to make appropriate deductions from the security deposit, as indicated in Clause 5 "Fees and Payments" of the Terms of Use.
6.5. The guest acknowledges that they are responsible for any material damages to the property, within the property or nearby, during the reservation, caused directly or indirectly by their action or inaction.
6.6. Whenever possible, the guest will take a photo of the property at the beginning and end of the reservation. In the event that the guest fails to do so, they acknowledge that it may be challenging to prove that any damage to the property was not caused by them.
6.7. In the event of discovering damages to the property or similar situations, the Guest will act promptly and take all reasonable measures to minimize their effects, including preventing them from worsening and/or causing inconvenience to occupants of neighboring properties. The Guest will report any damage to the property to Villanium or SUPERHOG as soon as reasonably possible.
6.8. The Guest is responsible for all damage to the Property, in or near the Property during the Guest's booking, caused directly or indirectly by the Guest's action or inaction. In addition to any liability for damage to the property, the Guest agrees to indemnify the Host for any costs or charges payable, including compensation to occupiers of neighbouring properties caused by the Guest's actions, inactions or failure to comply with any of the obligations of this agreement.
6.9. In the event of unreported damage, it will be presumed that any damage was caused by the Guest and he will be liable.
6.9.1. Guest acknowledges that the cost of damage to the property will be determined at the sole discretion of Villanium, Superhog and Guest.
7. Booking confirmation
7.1. To protect the Guest's interest in the property, the Guest agrees to complete a Booking Confirmation. As part of this process, the Guest may be required to verify their identity (ID) prior to booking, including providing accepted photographic identification (if applicable).
7.2. Villanium or SUPERHOG, acting as the Host's agent, may pass the Guest's details to a third party supplier to carry out identity verification and other checks.
7.3. No reservation on Villanium will be confirmed or activated if the Guest has not completed all the verification and reservation confirmation steps required by SUPERHOG.
8. Overstay
7.1. The Guest agrees to leave the accommodation at the departure time specified in the booking confirmation. The Guest acknowledges and accepts that failure to comply with the specified departure time, without the Host's consent, may result in:
7.1.1. Guest's Breach of this Agreement and the Host (or an agent on behalf of the Host) may ask you to leave; and
7.1.2. the Guest will pay the Host an overstay fee in accordance with the conditions contained in Clause 4 "Booking Accommodation" in the Terms and conditions.
8. Claims and disputes
8.1. The Guest and the Host agree between them that if either of them has a complaint, problem or dispute in relation to the Guest's booking, accommodation and/or stay, they will follow the procedures set out in Clause 7 "Complaints and dispute resolution" of the Terms and conditions.
9. Cancellation
9.1. This Agreement shall end on the earliest of the following dates:
9.1.1. The date and time the customer vacates the accommodation; or
9.1.2. The expiry of any period specified in a notice of non-compliance issued by the Host to the Guest (provided that the Guest has had a reasonable time to remedy a correctable situation). In the event of a serious breach by the Guest, the Host may notify the Guest of the immediate termination of the reservation.
10. Responsibility
10.1. Guest acknowledges and agrees that, subject to the provisions of clause 10.3 below, Host shall not be liable to Guest for:
10.1.1 The death or injury of the Guest, including guests or additional guests at the Accommodation ;
10.1.2. Damage to any property of the Guest, or guests or additional guests at the Accommodation; or
10.1.3. Any losses, claims, demands, actions, proceedings, damages, costs, expenses or other liabilities incurred by the Guest, his/her guests or additional guests while occupying the Accommodation in accordance with the terms of this Agreement.
10.2. Nothing in this clause limits or excludes any party's liability for death or personal injury caused by its negligence (or the negligence of its agents or employees) or for fraud.
11. General
11.1. This Agreement makes the entire agreement between Guest and Host and any other prior terms, conditions or representations whatsoever shall have no effect unless expressly set forth or incorporated into this Agreement (for the avoidance of doubt, terms which are incorporated include, but are not limited to, the provisions of the Terms and conditions, Host's applicable cancellation policy and house rules).
11.3. This contract does not confer any rights upon any person or party (other than the parties to this contract).
11.4. The Host has the right to subcontract or delegate its obligations under this contract without the consent of the Guest, provided that the Host remains ultimately responsible for the performance of these obligations.
11.5. This Agreement and all non-contractual obligations arising from or relating to it shall be interpreted in accordance with Irish laws.
11.6. The choice of law does not affect your rights as a consumer under consumer protection regulations in your country of residence. If you are acting as a consumer, any legal proceedings you may bring as a result of or in connection with this Agreement can only be brought before a court located in Ireland or a competent court in your place of residence. If the Host wishes to enforce any of its rights against you as a consumer, it can only do so before the courts of the jurisdiction in which you reside. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the Irish courts.
11.7. Neither party has the right to initiate legal proceedings against the other party or initiate a chargeback on the payment card until the expiration of all mediation and/or arbitration proceedings conducted in accordance with Article 7 "Claims and Dispute Resolution" of the Terms and conditions.
